Ingredients
• 4 6oz. boneless and skinless chicken breasts
• eggs, beaten
• 1 1/ cups seasoned breadcrumbs
• 1/4 cup vegetable oil

Bake in 50 degrees for 10 min. or until cheese melts and chicken is cooked through.
Serve at once with chopped parsley on top.

After Mace left Bad Boy, Puffy replaced him with an emcee called Shyne... and you all know how that ended, which, in time took Bad Boy from being the place to be to being the place not to be.
Fast forward to 001and 11 are back with their first vocal outing since their appearance on the Notorious BIG tribute single, Missing You and their third album, Part III is their most musically jovial and lyrically assertive album to date. Although still only in their early twenties, 11 have taken a leading role in the production of the CD (indeed, Daron has produced all but three of the cuts), lending a cruel irony to their fortunes that the group who enjoyed the least profile at the height of Bad Boy Recordss fortunes are now the labels most creative...
So, in short, what has been happening in the world of 11?
Mike For the most part, after the second album we have really been trying to re-evaluate where 11 wanted to go. Most importantly we changed management, and from then on it was about changing the whole way we were perceived. We didnt want to be seen just as artists, we wanted to be seen as businessman as well. It was important to have a hold on our careers, so basically when it came to working on our third album, we decided it was going to be all about Q, Slim, Mike and Daron. We now have piece of mind and are back with the album, which has already sold a million copies in the US - we were platinum in six weeks - so it is the most successful record we have ever had. We are definitely moving forward.
Will the new album satisfy die-hard 11 fans? Have you tucked typically huge 11 club jams tucked alongside the R&B ballads?
Mike Overall we have, yeah. I guess the album has dance records or the club joints and the wind-down for the baby makers are still there as well (laughs). So the old fans will be happy but hopefully this album will see some new ones on board too.
People often associate you with just the big club smashes you seem unleash every couple of years or so. Does it frustrate you that they dont realise there is so much more to 11?
Daron For sure, as 11 we pride ourselves that we have been the only consistent group for a long time that have been able to put songs in the clubs but still have ballads that are just as powerful as the club joints. We take a lot of pride in that.
Mike Its something we want to concentrate on, making sure that we are not just known for club hits, cos we want to be seen as a versatile group, and on this album I think we prove that.
Youve come such a long way since the release of your first single in 16, the classic Only You - did you ever think back then that within a five-year period you would have released three albums, which today is quite an achievement in itself?
Q Wow, yeah for sure!
Mike I mean, we shot for it, and it was always a goal for us, but we never imagined that the Lord would truly bless us the way he did. Because it is rare. I mean five years is like the average shelf life for an R&B singer, but we feel weve found new momentum; its almost like a new beginning for us.
Despite your multi-million-selling success in the US, as a territory, how important is it for you to break the UK?
Daron Very important. One of the main things we wanted to concentrate on with this album was basically reaching the masses. We want to expand our audience by reaching more people, which is why we are taking the time to come over to the UK and promote 11 properly, to let those who dont know about us know what we are about.
The track You is produced by Mario Winans, who produced a fair chunk of your album too. Was it important for you to have a gospel element within Part III?
Q We have to because that is our foundation. Without the church thered be no 11, and we know without that foundation this industry will have you crazy!
Did you have a big say in who got to work on the album? How instrumental were you in getting the likes of Tim & Bob and R Kelly also involved with the project?
Mike We were very instrumental. On the whole, we had an executive standpoint on Part III. We are all associate producers, which allowed us to have a hand in saying who we wanted to work with.
Slim Yeah, which means we cant put the blame on anyone else now (laughs).
Mike It was important that we got R Kelly involved, who we respect, and Tim & Bob, who we have a long personal relationship with. They really helped 11 from day one as far as songwriting and harmony patterns was concerned. Theyve always been hot. It just made sense to have songs from them for this album; theyve become popular recently, but as far as we are concerned they have always been on it.
Q Its cool because weve seen each others careers develop over time and we are still working together.
Lots of people have heard of you in this country, probably without realising it, because of course you have featured on a Number One pop record with Puffys Ill Be Missing You, which was the biggest-selling record in 17.
Daron That was quite a while ago now, and were really just concentrating on having a fresh start in the UK with the new album and the single Its Over Now.
What do you know about the music scene here in the UK?
Slim You guys have jungle I like, and also garage music, which Im definitely feeling.
Q We like Craig David too, hes cool.
Slim Definitely. Hes just released Fill Me In over in the US and its blowing up.
Mike Man, we love that track, and we actually heard it over here about a year ago.
For a while back there, Bad Boy Records became more about just the records. I guess its been a bit hectic?
Q One thing we are proud to say is that we are pretty much a self-contained unit these days, were not solely dependent on the label, especially in terms of the creative process. We write our own music and we style ourselves. So when the whole trial was going on it didnt really hinder us. However our prayers are with Puff everyday, and if we could have been in the courtroom we would have, but at that moment in time we were in the middle of the creating this record.
Mike Its real important that we stick together.
Daron Especially as we have been at the label since the beginning, and seen artists come in, grow and develop...
Slim Its still a family kind of atmosphere even though we dont have as much to do with them now on a day-to-day basis.
Are you featuring on any other forthcoming - Bad Boy Entertainment projects?
Q Yes, actually - there are a couple of things. There is a gospel album which features a track called You which is by a kind of a Bad Boy all-stars, and theres also a Bad Boy compilation which will feature the hottest hiphop and R&B joints - they should be released in the UK shortly after they are out in the States.
What are your wider plans for 11 ?
Daron Were going to have a clothing range come out but its not going to be called 11 . Its going to be called Gani - which means classy and sexy with a touch of hiphop -and its going to be strictly for the ladies. A lot of people in the music industry have crossed over into fashion but we wanted to do something slightly different, and hey, most of our fans are women (laughs).

Do any of you have musical ambitions beyond the group?
Mike If we do, it wont be in the foreseeable future and it would be a strategic move from the groups point of view - it would remain 11- orientated.

Until the Judicature Acts were passed in the 1870s, Equity was a separate jurisdiction. Before the Judicature Acts, Equity was applied and administered by the Court of the Chancery. In the 14th/ 15th Centuries, if an individual had a common law action he went to the Common law courts for redress. If his grievance was not resolved by the common law, he had to turn to the Chancery Courts for redress- for example, if he wanted damages, he sought them at common law but if an injunction was desired, he had to look to Chancery. Chancery offered specific performance of the obligation.
Prior to the 18th Century, the Chancellor was the most important man in the kingdom after the monarch. It was he who issued writs, allowing plaintiffs to proceed with their actions in court. A Plaintiff could only sue if his action/complaint came within the scope of an existing writ. These writs were very specific in their application and covered only very narrow ground. The Common law was thus frozen by its inflexibility.
Because the action by writ was so limited, people began to petition the Chancellor directly, requesting that he exercise discretion. The Chancellor then began to receive these petitions and started to run his own court, where he would receive the parties. He had the power to subpoena people to this court, a power the common law judges did not enjoy. Thus the Chancellors court developed, dealing with work that could not be dealt with by the common law judges. However, people soon realised that the Chancellor afforded better justice and therefore began to bring common law actions before the Chancellor as well. The Chancellor was not so much concerned with case law and precedent but rather an individual sense of right and wrong (idea of the Chancellors foot). Thus equity came into its own. Although the jurisdiction was vague and undefined, the Chancellor gave justice according to conscience. This is not how equity functions nowadays, however- it is not simply a case of going to court and seeing what mood the judge is in today!
The Chancellor was developing things which were equitable (eg. specific performance, injunctions and other equitable remedies) but the most far-reaching development was the trust.

The Common law Procedure Act 1854 gave the Common law courts power to give certain equitable remedies whilst the Chancery Amendment Act did the reverse- giving Chancery Courts powers to award damages.
Friction between the two jurisdictions was apparent as early as 1610. In order to align the two jurisdictions, the King (James 1) had Francis Bacon (then Attorney General) judge a famous dispute between Lord Chancellor Ellesmere and LCJ Coke. Origins and Nature of Equity
Some parts of equity you may recognise. You will have come across it in Contract, breach (remedies) and it also relates to co-ownership issues in property law.
Equity is a little bit difficult to get used to as a concept- it is thus easier to briefly examine its origins and history. Until the Judicature Acts were passed in the 1870s, Equity was a separate jurisdiction. Since then it is no longer a separate/supplementary jurisdiction but rather has developed through the common law.
Before the Judicature Acts, Equity was applied and administered by the Court of the Chancery. In the 14th/ 15th Centuries, if an individual had a common law action he went to the Common law courts for redress. If his grievance was not resolved by the common law, he had to turn to the Chancery Courts for redress- for example, if he wanted damages, he sought them at common law but if an injunction was desired, he had to look to Chancery. Chancery offered specific performance of the obligation.
Prior to the 18th Century, the Chancellor was the most important man in the kingdom after the monarch. It was he who issued writs, allowing plaintiffs to proceed with their actions in court. A Plaintiff could only sue if his action/complaint came within the scope of an existing writ. These writs were very specific in their application and covered only very narrow ground. The Common law was thus frozen by its inflexibility.
Because the action by writ was so limited, people began to petition the Chancellor directly, requesting that he exercise discretion. The Chancellor then began to receive these petitions and started to run his own court, where he would receive the parties. He had the power to subpoena people to this court, a power the common law judges did not enjoy. Thus the Chancellors court developed, dealing with work that could not be dealt with by the common law judges. However, people soon realised that the Chancellor afforded better justice and therefore began to bring common law actions before the Chancellor as well. The Chancellor was not so much concerned with case law and precedent but rather an individual sense of right and wrong (idea of the Chancellors foot). Thus equity came into its own. Although the jurisdiction was vague and undefined, the Chancellor gave justice according to conscience. This is not how equity functions nowadays, however- it is not simply a case of going to court and seeing what mood the judge is in today!
The Chancellor was developing things which were equitable (eg. specific performance, injunctions and other equitable remedies) but the most far-reaching development was the trust.
What is a trust??

A gives land to B. However, A does not want B to own the land just yet and thus passes it to C on the undertaking that he hold it for B. Therefore, B will ultimately own the land but for the time being it is vested in C. The common law took the view that C was the owner- his is the name on the deed. On the other hand, the Chancellor took a different and more inventive view - C keeps the land but holds it for B. The Chancellor compelled C to hold the land. Thus C was the owner at law (legal owner) and B the owner at equity (equitable or beneficial owner).
Early terminology - C was the FOEFEE TO USES (trustee) and B was CESTUI QUI USE (beneficiary).
The trust was called the USE. The law in this area was crystallised by the Statute of Uses 155. This Statute put the settlor (the person giving away something) and the beneficiary in a legal taxable relationship. To get around this, another use was built in and in the 1700s, the terminology then became UNTO AND TO THE USE OF A ON TRUST FOR B . Soon after the murder of Duncan, Macbeth and lady MacBeth’s relationship start to change. During the planning of Duncan’s murder, lady Macbeth is in charge telling her husband what to do. But after hiring the murderers to kill Banquo and Fleance, Macbeth tell his wife to “Be innocent of the knowledge, dearest chuck, till thou applaud the deed.” This shows us that he is begging to take full control and plotting on his own without telling his wife what he is planning to do.
Before Macbeth was king he was acting on his ambition, but by the begging of Act he is fighting for his survival. He then relises that he has come to far and killed to many people to go back “I am in blood Stepped in so far, that, should I wade no more, returning were as tedious as go oer.” He has also come to distrust everybody, especially Macduff. This is shown when Macduff leaves the country and we see that now Macbeth is truly turned evil when he orders for Macduff’s family to be killed.
The last time we see Lady Macbeth in total command is at the banquet in Act . NEW YORK (CNNfn) - Another day, another merger. Except this time its your company in the headlines. How you do your job may or may not be affected. But your benefits very well may, particularly your 401(k). And it pays to keep abreast of the changes.
Otherwise, you may find yourself paying unexpected fees, investing in funds you dont want, wondering what happened to your company stock or being prevented from taking a withdrawal or loan when you planned to.
Bigger plans may mean more choice
Theres no one formula for how 401(k)s are handled in a merger. But more and more, merging companies are merging their 401(k)s into one, said Mary Ann Arlt, a vice president and consulting attorney for ASA, an employee benefits consulting firm. And often that means one plan is absorbed into another.
WHAT TO EXPECT WHEN YOUR PLAN IS MERGED
• There will be a quiet period when you cannot make withdrawals or loans.
• Investment options may be mapped into the new plan.
• You may have to re-enroll in the new plan.
• You may have to sell company stock from your old plan.
• Plan loans often can be transferred to the new plan.
Thats not necessarily a bad deal for employees. When plans merge, the asset base grows significantly, giving the combined company more bargaining power with plan providers to offer greater investment choice at lower cost.
And rest assured, no matter what the provisions of the new plan, all of the money you contributed to your old 401(k), all of the employer matches that have vested in your account and the earnings that have accrued, cannot be taken from you, said David Wray, president of the 401(k)/Profit Sharing Council of America.
But certain decisions made by the investment committee and company management will affect your money.
Mapping new terrain
For instance, when your account is transferred from one plan to another, your investment choices are mapped, meaning if you are invested in an aggressive growth fund and a mid-cap value fund, the investment committee will designate which funds under the new plan most closely match your old choices.
Its a fiduciary decision, Arlt said.
Sometimes, those mapping decisions may not be exact. Weve had situations where its not a direct match, said Tom Rossi, a defined-contribution-plan consultant with human resources research firm Watson Wyatt Worldwide.
In some cases you may be given the option to review this mapping before the transfer and decide if you would rather put your money into other funds in the plan at the time of rollover. If you do nothing, your money will automatically be put into the funds the investment committee selects.
Thats why you have to stay on top of these things, Arlt said.
Of course, once ensconced in the new plan, you may make further investment changes as you see fit.
One choice you are not likely to have is the option of rolling over money from your old 401(k) into an IRA. That usually requires separation of service through death, retirement or the securing of a new job. Just because your company or division is being merged does not necessarily constitute separation of service.
Mind the gap
Keep in mind, no merger takes place overnight. That means that even after your company and its new bedfellow join forces, your old plan may still be in effect for up to two years, although one year is more common, Rossi said.
QUESTIONS TO ASK ABOUT YOUR 401(K) IN A MERGER
• Can I choose my investments in the new plan before my money is transferred?
• Am I eligible to participate in the new plan?
• What is the new matching formula?
• What is the plans vesting schedule?
• Will my old plan be terminated and if so, when?
• What will happen to any outstanding loans from the old plan?
While you may still contribute to your old account during this interim period, be sure to check when the plan will be terminated officially and know whether the funds you wish to invest in before that time impose any early withdrawal fees, Arlt said.
In other words, if you know your money will be transferred into the new plan in 60 days and the fund you want to invest in imposes a penalty for withdrawals made within the first 0 days, you would do better to forego the investment in that particular fund.
They dont waive the fees, Arlt said.
You should also be aware of the quiet or blackout period during which the plan transfer takes place. Your money probably wont be out of the market for more than 48 hours at most, but you may not be able to withdraw from or make loans on that pool of money for a period of up to six to eight weeks, Arlt said.
MARK DOWN THE QUIET PERIOD ON YOUR CALENDAR
Money from your old 401(k) probably wont be out of the market for more than 48 hours at most when it is being transferred to the new plan, but you may not be able to withdraw from or make loans on that money for a period of up to six to eight weeks.
That doesnt necessarily mean you cant put money into the new plan during that time or carry out withdrawal or loan activities on that new pool of money. But that will depend on whether you need to re-enroll and whether you will be subject to different eligibility and vesting schedules under the new plan.
New plan, new rules
Often, if you are eligible to participate in the 401(k) at your old company, you will be entitled to do so at the newly merged employer. But you may need to sign up again for the privilege before you begin contributing under the new plan.
In some cases, however, you may need to sit on the sidelines for awhile until you become eligible again because prior service is not recognized under the new plan.
Or, while you may be eligible, the vesting period � the time you must work at a company before youre allowed to walk away with employer matches � may be longer. This new vesting schedule would only apply to matches going forward under the new plan, not to those that have already vested under your old plan.
Keep in mind, too, the matching formula itself also might be altered, for better or worse.
Whether the changes compare favorably to your old plan or not, Theres not much you can do, Arlt said, except know what your options are and make your plans accordingly.
Of loans and stock
That advice also applies to any outstanding loans you may have in your old 401(k).
Normally when a plan terminates, all outstanding loans become due immediately. But often, Rossi said, where there is a trust-to-trust transfer, there is a loan-transfer provision as well, meaning if you continue to work at the merged company, you can keep paying off the loan under the new plan.
Things get more complicated when a division of a company is bought out and the old plan continues to exist but the division employees either must shift their participation to the new plan or choose which plan they want. In that case, if you have an outstanding loan, ask your benefits department what options you have.
If you own any stock from the company of the acquired division, you may be forced to sell it, since the acquiring company may not wish to have that investment in its plan.
Sometimes the stock is sold around the time of the plan-asset transfer and rolled into your new account as cash, Rossi said. But in some instances the new employer will let you hold onto the stock for a certain period, say 18 months, during which time you get to decide when to sell. If you dont do so within that sunset period, it will be sold for you, Arlt said.
Take some comfort in trends
You may not be a fan of your companys merger or its potential near-term consequences � the corporate culture wars, power plays and confusion about whos doing what for whom.
But there may be at least one silver lining. Unless you work for a large company that sells your division to a smaller firm with a less generous retirement plan, the competitive marketplace is on your side when it comes to large 401(k)s.
All companies are having trouble keeping employees, Arlt said, noting that 401(k)s are one good retention tool in the war for talent. So the trend overall is toward shorter eligibility and vesting periods, greater investment choice and more attractive matching formulas. The bigger the company, usually, the more bargaining power for better benefits.
But its hard to take full advantage of your benefits, especially when theyre in transition, if you dont know what the new rules and requirements are.
Employers should be providing timely communication on these things, Arlt said. Be sure to read them.
If they dont, Wray said, You should be persistent in asking questions until youre fully satisfied you understand whats happening.

Keep in mind, no merger takes place overnight. That means that even after your company and its new bedfellow join forces, your old plan may still be in effect for up to two years, although one year is more common, Rossi said.
QUESTIONS TO ASK ABOUT YOUR 401(K) IN A MERGER
• Can I choose my investments in the new plan before my money is transferred?
• Am I eligible to participate in the new plan?
• What is the new matching formula?
• What is the plans vesting schedule?
• Will my old plan be terminated and if so, when?
• What will happen to any outstanding loans from the old plan?
While you may still contribute to your old account during this interim period, be sure to check when the plan will be terminated officially and know whether the funds you wish to invest in before that time impose any early withdrawal fees, Arlt said.
In other words, if you know your money will be transferred into the new plan in 60 days and the fund you want to invest in imposes a penalty for withdrawals made within the first 0 days, you would do better to forego the investment in that particular fund.
They dont waive the fees, Arlt said.
You should also be aware of the quiet or blackout period during which the plan transfer takes place. Your money probably wont be out of the market for more than 48 hours at most, but you may not be able to withdraw from or make loans on that pool of money for a period of up to six to eight weeks, Arlt said.

That doesnt necessarily mean you cant put money into the new plan during that time or carry out withdrawal or loan activities on that new pool of money. But that will depend on whether you need to re-enroll and whether you will be subject to different eligibility and vesting schedules under the new plan.
New plan, new rules
Often, if you are eligible to participate in the 401(k) at your old company, you will be entitled to do so at the newly merged employer. But you may need to sign up again for the privilege before you begin contributing under the new plan.
In some cases, however, you may need to sit on the sidelines for awhile until you become eligible again because prior service is not recognized under the new plan.
Or, while you may be eligible, the vesting period � the time you must work at a company before youre allowed to walk away with employer matches � may be longer. This new vesting schedule would only apply to matches going forward under the new plan, not to those that have already vested under your old plan.
Keep in mind, too, the matching formula itself also might be altered, for better or worse.
Whether the changes compare favorably to your old plan or not, Theres not much you can do, Arlt said, except know what your options are and make your plans accordingly.
Of loans and stock
That advice also applies to any outstanding loans you may have in your old 401(k).
Normally when a plan terminates, all outstanding loans become due immediately. But often, Rossi said, where there is a trust-to-trust transfer, there is a loan-transfer provision as well, meaning if you continue to work at the merged company, you can keep paying off the loan under the new plan.
Things get more complicated when a division of a company is bought out and the old plan continues to exist but the division employees either must shift their participation to the new plan or choose which plan they want. In that case, if you have an outstanding loan, ask your benefits department what options you have.
If you own any stock from the company of the acquired division, you may be forced to sell it, since the acquiring company may not wish to have that investment in its plan.
Sometimes the stock is sold around the time of the plan-asset transfer and rolled into your new account as cash, Rossi said. But in some instances the new employer will let you hold onto the stock for a certain period, say 18 months, during which time you get to decide when to sell. If you dont do so within that sunset period, it will be sold for you, Arlt said.
Take some comfort in trends
You may not be a fan of your companys merger or its potential near-term consequences � the corporate culture wars, power plays and confusion about whos doing what for whom.
But there may be at least one silver lining. Unless you work for a large company that sells your division to a smaller firm with a less generous retirement plan, the competitive marketplace is on your side when it comes to large 401(k)s.
All companies are having trouble keeping employees, Arlt said, noting that 401(k)s are one good retention tool in the war for talent. So the trend overall is toward shorter eligibility and vesting periods, greater investment choice and more attractive matching formulas. The bigger the company, usually, the more bargaining power for better benefits.
But its hard to take full advantage of your benefits, especially when theyre in transition, if you dont know what the new rules and requirements are.
Employers should be providing timely communication on these things, Arlt said. Be sure to read them.
If they dont, Wray said, You should be persistent in asking questions until youre fully satisfied you understand whats happening.
